Understanding the Basic Pitfalls of GMP Contracting

As owners search for project delivery systems that reduce the duration from project conception to project completion one of the most common approaches has included the use of guaranteed maximum price, or GMP, contracts. However, as the use of these contract formats has proliferated so have disputes that strongly suggest that the parties using them do not fully understand: the differences between GMP contracts and the contracts that the users are used to working under, or the risks that are inherent to this delivery system.

This live webinar will highlight basic differences and alert you to the unique risks of using this format. Mr. Burnham will draw and share from his many years of hands-on experience in the negotiation, drafting and administration of GMP contracts. Topics will include in-depth description and analysis of the advantages and disadvantages of this contracting format, the four phases of work that are typical when working under a GMP format, the components of a GMP and why it is so important to fully understand how each is defined, and the conditions that apply to the payment of each component. Business Associate Obligations and Agreements after HIPAA Omnibus Rule

The development of HIPAA Business Associate Agreement (BAA) forms and practices preceded the publication of the 2013 Omnibus Final Rule that implements HIPAA and HITECH. Relationships between covered entities and their business associates, relationships among business associates, and the BAAs among them, must be updated to comply with the new rule. Potentially complicating that process, when negotiating BAAs, HIPAA covered entities frequently overreach by including topics unrelated to the business associate’s obligations under HIPAA and imposing unnecessarily complex and onerous terms. The Omnibus Final Rule, has changed and expanded business associates responsibilities. This live webinar helps persons responsible for BAA contracting to understand the proper format and scope of a BAA, address issues related to the obligations of the BA’s subcontractors and develop streamlined forms and policies and procedures for operationalizing their updated BAA.

What is the right return policy? If your goal is to bring the customer back, it’s simple: give them what they want. WOW them. Problem is that many companies need to eliminate the inquisition, endless questions, reasons for the return, etc. Treat them like appreciating assets.
